Mr. Osvaldo Iadarola reports

At the company's annual general meeting held March 28, 2000, the company's board of directors was reconstituted. Previous directors, Darlene J. Iadarola and Daryl S. Fridhandler, did not stand for re-election. Management nominees, Dr. Gerald Mill and Mel Cassidy, were elected to replace them. Consequent upon such changes, the company's board of directors is as follows:

The company believes that the addition of Dr. Mill and Mr. Cassidy as new directors strengthens the board by the addition of relevant expertise and significant experience.

Dr. Mill, of Idaho Fall, Idaho, joined Audiotech as managing audiologist responsible for the company's operations in Idaho, in April, 1998. Prior to joining Audiotech as manager of Idaho operations, Dr. Mill owned and operated Audiology and Hearing Aid Services Inc. in Idaho, which he founded in 1980. His previous relevant experience included positions as an audiologist at the Eugene Hearing and Speech Centre, American Fork Utah Training School, University of Utah Medical Centre, Ear, Nose and Throat Centre of Salt Lake City and Ear, Nose and Throat Associates of Idaho Falls.

Mr. Cassidy brings significant business experience and acumen to the board of directors. Since 1997, he has occupied the position of president of Hill & Cassidy Retail Corp., a private company operating 18 Superior Video stores in five provinces. He is also president of Castle Properties Ltd. and Elk Belly Properties Ltd., private companies which hold various real estate investments across Canada. Before assuming the role of president, Mr. Cassidy had been vice-president of Hill & Cassidy Retail Corp. when it operated 31 video stores until the chain was sold to Video Update, a public corporation based in Minnesota. Mr. Cassidy is also currently chairman of the Royal Inland Hospital Foundation in Kamloops, B.C.
